2SCOPE OF SERVICES
RecordRx is a clinic management and healthcare workflow platform that enables healthcare providers to manage:
- Patient records
- Appointments
- Billing and invoicing
- Clinical documentation
The Services are intended for use by authorized healthcare professionals and organizations.
3ELIGIBILITY
You may use the Services only if:
- You are legally capable of entering into a binding agreement
- You are authorized to act on behalf of a healthcare organization (if applicable)
- You comply with all applicable laws and regulations
4ACCOUNT REGISTRATION & RESPONSIBILITIES
Users may be required to create an account to access certain features.
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Be responsible for all activities under your account
Incerebrum is not liable for unauthorized access resulting from user negligence.
5ACCEPTABLE USE
You agree not to:
- Use the Services for unlawful or fraudulent purposes
- Upload or transmit harmful, abusive, or illegal content
- Attempt to gain unauthorized access to systems or data
- Interfere with platform performance or security
We reserve the right to suspend or terminate access for violations.
6HEALTHCARE DISCLAIMER
RecordRx is a technology platform and does not:
- Provide medical advice
- Make clinical decisions
- Replace professional medical judgment
7DATA & PRIVACY
Use of the Services is subject to our Privacy Policy.
- Customers (healthcare providers) are responsible for obtaining patient consent
- Incerebrum processes data on behalf of customers

8INTELLECTUAL PROPERTY
All rights, title, and interest in the Services, including:
- Software
- Design
- Content
- Trademarks
are owned by Incerebrum or its licensors.
No rights are granted except as expressly stated in these Terms.
9SUBSCRIPTION & PAYMENT
Certain features of the Services may be subject to fees as agreed in a separate Order Form or agreement.
- Payments must be made in accordance with agreed terms
- Failure to pay may result in suspension of Services
10THIRD-PARTY SERVICES
The Services may integrate with or rely on third-party providers.
Incerebrum is not responsible for:
- Third-party services
- Their availability or performance
- Their data handling practices
11AVAILABILITY & SUPPORT
We aim to provide reliable access to the Services but do not guarantee uninterrupted availability.
Service levels may be governed by a separate Service Level Agreement (SLA), if applicable.
12SUSPENSION & TERMINATION
We may suspend or terminate access to the Services:
- For breach of these Terms
- For non-payment
- To comply with legal obligations
Users may discontinue use at any time.
13DISCLAIMER OF WARRANTIES
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Incerebrum disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose

14LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Incerebrum shall not be liable for indirect, incidental, or consequential damages
- Liability shall be limited as specified in applicable agreements (such as the MSA, if executed)
15INDEMNIFICATION
You agree to indemnify and hold harmless Incerebrum from claims arising out of:
- Misuse of the Services
- Violation of applicable laws
- Clinical decisions made using the platform
16MODIFICATIONS
We may update these Terms from time to time.
- Updates will be posted on the website
- Continued use constitutes acceptance
17GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by the laws of India.
Any disputes shall be resolved through arbitration, with jurisdiction in Bangalore.
